The company’s PRESENTATION FILE may be acquired beginning on October 22, 2008 from AVAS – Division for Majority Stakes’ Realisation – Bucharest, str. Promoroaca, nr. 9-11, sector 1, 4th floor, telephone 0040 - 21/303.64.37, 303 65 93, facsimile: 202 83 27, Monday - Thursday between 900 a.m.– 500 p.m. and Friday between 900 a.m. – 200 p.m.).
Additional information on AVIOANE CRAIOVA S.A. needed to draft a Purchase Bid shall be available within the Data Room organised at the company’s registered office during October, 22, 2008 – November 21, 2008 after paying a fee for direct access to data and information under the GD 577/2002 provisions subsequently amended and added to and the Presentation File specifications.
Romanian individuals/ legal persons shall pay the FEE FOR DIRECT ACCESS to data and information of lei 1,570 (VAT included) and the price of the PRESENTATION FILE of lei 3,150 (VAT included), in lei, by a payment order treasury-type, into account no. RO07TREZ7005055XXX000351, and the PARTICIPATION GUARANTEE may be deposited into account no RO53TREZ700500503X000226 opened by A.V.A.S. with the Bucharest Treasury & Public Accounting Division.
Foreign individuals / legal persons, shall pay the FEE FOR DIRECT ACCESS TO DATA AND INFORMATION, the price of the PRESENTATION FILE and the PARTICIPATION GUARANTEE in convertible currency in the accounts opened with Romania’s Export - Import Bank (EXIMBANK - SMB) registered office in Bucharest, Splaiul Independentei nr.5, sector 5, as follows: RO39EXIM1010000088S1EU03; RO85EXIM1010000088S1US07;RO25EXIM1010000088S1GB03.
The exchange rate communicated by the National Bank of Romania on the payment date shall be used for paying the Presentation File and the fee for direct access to data and information. For Participation guarantee shall be used the exchange rate communicated by the NBR valid on its the payment/issuance date.
THE PARTICIPATION GUARANTEE amounted to lei 370,670 shall be submitted in one of the ways specified in the Presentation File.
The PRESENTATION FILE is released after submitting the following documents:
- proof of PRESENTATION FILE payment;
- ID card / passport (for Romanian/ foreign individuals);
- power of attorney granted by the bidding company;
- confidentiality agreement to be signed at AVAS headquarters.
Acquisition of the Presentation File is a compulsory condition to attend the negotiations.
In order to take part in the negotiations, prospective buyers shall submit to AVAS - Division for Majority Stakes’ Realisation – str. Promoroaca, nr. 9-11, sector 1, Bucharest, in separate sealed envelopes, the Participation Documents provided by art. 35 of the Methodological Norms approved by GD no. 577 / 2002 subsequently amended and added to and by Section C of the Presentation File, and the Final Bid.
In the sealed envelope containing the Participation Documents, bidders – Romanian individuals/ legal persons - shall submit an authenticated Statement on their own accountability, specifying the core energy and water suppliers of the respective bidder, attesting the said bidder does not benefit of payment incentives to its core energy and water suppliers as per the GUO 57/2002 provisions. This is a preclusion condition in case the bidder enjoys debt incentives or payment reschedule to its core energy and water suppliers.
The participation documents shall be submitted concomitantly with the FINAL BIDS.
Prospective buyers shall submit the participation documents and the final bids until November 24, 2008, 11:00 a.m local, in sealed envelopes, as specified in the Presentation File, at AVAS - Division for Majority Stakes’ Realisation, at the above mentioned address.
Participation documents shall be opened on November 24,2008, 13:00 p.m, in the presence of all potential buyers.
